We are seeking a Contract Manager APAC to support our commercial teams in the region. Reporting to the Regional General Counsel, International, this role will help drive improvements in ASP's and FHS respective contract processes and policies, as the Contract Manager will be responsible for drafting, negotiating, and processing high volumes of commercial contracts required by ASP's and FHS business. This role requires an understanding and strong prior know-how of a wide range of commercial contracts, and a creative and business partnering mindset to create business-minded, easy to understand and use contract templates. AHS International Legal Team is poised for growth and innovation and supports primarily ASP (minimum of 70% of the worktime) and the three FHS Operating Companies (Fluke BioMedical, Landauer, RaySafe) for 30% maximum of the worktime.
Your Main Duties: Draft, negotiate, and process for ASP and FHS OpCos (Operating Companies) high volumes of commercial, technology and other legal documentation, including NDAs, terms of sales, distribution agreements, service agreements, purchase agreements, sourcing and supply agreements, commercial agency agreements, logistics agreements, HCP consultancy agreements, statements of work, amendments, and related commercial documents.Prepare and maintain standard templates of contracts and legal documents for ASP and FHS OpCos; assist Regional General Counsel International work and Senior Counsel International in APAC countries in drafting and negotiating complex contracts and legal documents.Review bids and tender documents for ASP and FHS OpCos under the guidance of Regional General Counsel International and Senior Counsel International in APAC countries.Perform legal research in relation to a wide range of legal, regulatory and compliance issues where necessary for ASP and for FHS OpCos.Design and provide training on legal procedures and policies, legal templates, and contracting practices for ASP and for FHS OpCos.Partner with ASP Compliance team in maintaining and enhancing infrastructure of ethics and compliance; implement related policies locally; maintain legal database and provide training to users of related systems.Serve as a primary resource for ASP's contract management process in APAC within ASP Global Legal and Compliance department.Help drive implementation of legal efficiencies using Fortive Business Systems to support and improve contract processes and operations.Provide support in managing external counsels and associated administration work as directed by Regional General Counsel International and Senior Counsel International in APAC countries.Perform other duties assigned as needed.What We're Looking For Graduate of a recognized law school or abroad and admitted as a member of the legal profession in China.Minimum of 10 years' prior working experience in the legal department of a global health-care/Life Science company and an international law firm with a healthcare practice, with at least 5+ years' working experience as in-house.Experience in compliance is a plus.Passer of P.R.
