The Senior Corporate Counsel, LATAM, will serve as the lead attorney for F5's LATAM business. This multi-jurisdictional role offers a diverse range of work in a fast-paced environment and provides the opportunity to share and enhance existing technology law experience, and to develop new skills. This role will manage and mitigate the Company's legal risks and exposures in Latin America and the Caribbean, while providing timely and prudent legal support to all functions, including but not limited to the sales, services, finance, procurement, marketing, compliance, and human resources teams. This role will report to the Deputy General Counsel/SVP and be based in F5's Guadalajara office, with the flexibility to work remotely part-time.
Primary Responsibilities
- Prepare, review, revise, and negotiate customer facing commercial agreements including but not limited to: sales, enterprise licensing, cloud licensing, services, consulting, OEM, pricing, reseller and distributor agreements. Proactively identify and mitigate potential risk while supporting business objectives.
- Review, revise, and negotiate inbound agreements for non-core products and services _(e.g., facilities' agreements, professional services agreements, IT services agreements, agreements with marketing agencies and leases)_.
- Work with the wider legal team to ensure compliance with F5's Business Code of Ethics and reporting violations of the Code or other company policies.
- Support Data Privacy, including GDPR and all compliance initiatives; partner with appropriate business partners to assist with the review of channels programs for anti-trust compliance and of marketing campaigns for data privacy compliance to ensure compliance with local laws.
- Act as legal representative to support attending diligences with government authorities as needed. Identify and advise on legal risks and strategies related to the implementation of F5's products and services, working closely with the compliance and business teams to ensure appropriate strategies are adopted and that existing processes are revised as needed.
- Maintain an up-to-date knowledge of laws and regulations, particularly regarding existing and emerging technologies, and share that knowledge to ensure an ongoing ability to ensure robust product area coverage and support for F5's evolving product portfolio.
- Provide periodic training to sales teams on key legal terms and conditions, and commercial templates.
- Support new entity set up across Latin America and the Caribbean.
- Provide legal support as needed in the management of disputes and employment issues.
- Manage outside counsel work, ensuring prudent use of F5 resources
- Other duties and/or special projects as assigned
Knowledge, Skills, and Abilities
- Full proficiency in both English and Spanish is required as contract negotiations and drafting of agreements is done in both languages. Working knowledge of Portuguese is beneficial.
- Subject matter expertise in the drafting and negotiation of complex agreements; demonstrated knowledge and strong understanding of contract law and key commercial principles across LATAM countries.
- Proven track record of competently and efficiently reviewing, drafting, and negotiating complex technology and commercial agreements. Working knowledge of international sales and licensing agreements, and revenue recognition principles beneficial.
- Knowledge of technology transfer and software-related agreements, intellectual property law and related transactions, with a focus on cloud licensing is a strong plus.
- Excellent written, verbal, and interpersonal communication skills in both English and Spanish; able to communicate effectively with internal and external stakeholders at all levels.
- Able to effectively coordinate and prioritize multiple projects with limited supervision in a fast-paced environment.
- Consistently demonstrates sound and strategic judgment, even in ambiguous situations
Qualifications/Experience
- Licensed to practice law in Mexico.
- Mid-level attorney with 6-10 years of legal experience in an international law firm and/or in-house counsel position.
- A keen appetite for innovation and a knack for creative problem-solving.
- Ability to navigate a complex, nuanced, and evolving regulatory environment and provide clear, actionable advice to internal stakeholders.
- Experience in the technology sector is strongly preferred.
