Manage a small portfolio of subsidiaries and branches and enable effective operation of their Boards, Committees and line-of-business management committees. This role supports the Company Secretary/Deputy Company Secretary [LAM/Mexico] in delivering the Corporate Governance & Secretariat function activities._- This job category supports the drive to achieve the highest standards of corporate governance to support the delivery of Group strategy and to satisfy the expectations of our stakeholders._**_Key Accountabilities:_**- _Contribute to the organisation and management of the main Board, Committee and LoB meetings_- _Manage the corporate and business governance arrangements for subsidiary and other entity boards_- _Manage the discharge of regulatory obligations_- _Manage the administration of Powers of Attorney for HSBC companies and subsidiaries_- _Provide advice, guidance and support on the execution of corporate transactions for HSBC companies and subsidiaries_- _Provide advice, guidance and support to the Company Secretary and Boards of Subsidiaries_- _Manage a range of relationships with key internal and external stakeholders_- _Support the Company Secretary with governance and appointment of Board Directors for HSBC subsidiaries_- _Support the development of staff in the Corporate Governance & Secretariat function_- _Interpret and execute legislation and regulations within [LAM/Mexico]_- _Understand and execute statutory obligations for HSBC companies and subsidiaries_- _Maintain corporate records and submit filings for HSBC companies and subsidiaries_- _Contribute to functional projects and tasks_**_Management of Risk_**- _Ensuring that key governance/listing obligations/company secretarial matters are clearly identified, brought to the attention of the Regional/ Country/ Deputy Company Secretary, and as appropriate, recommended for inclusion in the Group Standards Manual or Corporate Governance & Secretariat Functional Instruction Manual._- _Adhering to processes and controls to identify and mitigate risks and ensuring timely escalation of control issues and corporate compliance risks
