The Country Counsel 5 manages multiple teams through other managers. An in-depth understanding of how own sub-function contributes to achieving the objectives of the function is necessary. A good understanding of the industry and direct competitors' products and services is also essential to contribute to the commercial objectives of the business. This role requires a thorough understanding of the strategic direction of the function within the relevant part of the business, combined with a solid conceptual and practical grounding in both the function and/or area of expertise and related subject areas. Excellent communication skills are required to negotiate internally, often at a senior level, with some external communication and negotiation as necessary.Responsibilities:This position will be responsible for overseeing the Corporate Reporting Legal team. This team will be in charge of:Coordinating with external counsel and various senior stakeholders within Citi and Banamex (Banamex's CEO and CFO and Citi's Disclosures Committee) for preparation and/or review of prospectus and other forms and reports that Banamex will need to file with the CNBV and the SEC.Providing legal advice on investor relations-related issues.Coordinating with Brokerage Firms and Deposit Institutions in Mexico and the US for the holding of Shareholders' meetings as required.Advising on dividend payments and equity compensation for officers and directors.Creating and implementing processes associated with personal trading, including the establishment of blackout periods and pre-clearance of trades.In general, this position will oversee the team whose main mission will be to advise on all aspects concerning Banamex as an entity listed on the CNBV and the SEC.Qualifications:15+ years of experience, including 8-10+ years' managerial experience.Excellent command of local languages.Excellent leadership, interpersonal, and relationship management skills.Excellent written, verbal, problem solving, and analytical skills.Effective negotiation skills and ability to maintain effective relationships.Membership of local Bar/Lawyers Association.Education:Bachelors/University degree, Master's degree preferred.This job description provides a high-level review of the types of work performed.
