.**About the Role**:**Grade Level (for internal use)**: 11**The Role**:In House Attorney**The Impact**:The Americas Legal Team of S&P Global Commodity Insights (SPGCI), a division of S&P Global Inc., is seeking a pragmatic, commercially minded lawyer, You will be responsible for providing legal advice and support to internal clients as well as engaging with external customers. The specific responsibilities include drafting, reviewing and negotiating commercial agreements, ranging from outbound and in-bound data license agreements, distribution and vendor agreements, government contracts, marketing and sponsorship agreements, complex partnership arrangements, NDAs, and others.**What's in It for You**:You will work in a collaborative, high-energy, client-facing, multicultural, multilingual environment, with the opportunity to further develop legal judgment, interact with clients, and draft and negotiate contracts, as part of a team that provides crucial legal support to the SPGCI business across multiple countries and legal systems.**Responsibilities**:Negotiate SPGCI's standard Master Subscription Agreements, Services Attachments, and related documents, Master Distribution Agreements, vendor agreements, inbound and outbound data license agreements, government contracts (including FAR provisions), Consulting Agreements, Data Processing Agreements, NDAs, etc.Work with internal lawyers to assist in updating and maintaining agreement templates to reflect changes to new or amended laws and markets, industry trends and practices.Interact and collaborate with internal team members and stakeholders on other legal matters including: Information security, privacy (GDPR, DPPA, CCPA), and the management and protection of the company's intellectual property.Provide legal advice and support to SPGCI's Marketing and Events/Conferences teams, which includes the drafting and negotiating of relevant agreements.Work as a team member, while promoting an environment of mutual respect.**What We're Looking for**:A strategic, emotionally intelligent thinker with an ability to instill trust and confidence in cross-functional and cross-divisional team members and stakeholders.A key player who stays current with rapidly evolving industry trends and practices, as they relate to commodities, intellectual property, technology, privacy, anti-trust etc.A motivated professional who likes to Identify, enforce and provide training on appropriate policies and procedures.A creative thinker.**Basic Qualifications**:Five + years of commercial law experience as an associate in a law firm or corporation.Strong working knowledge of commercial and intellectual property law and an understanding of the laws of the jurisdictions where SPGCI does business.**Clear understanding of and extensive experience with**: the protection of copyright and other proprietary rights; warranties; indemnifications; and disclaimers of liability
