Grow your career as a Legal Counsel with ALG.
On this role you will be responsible for preparing, reviewing and negotiating company contracts, requests for proposals and other legal documents.
**A successful Legal Counsel will support the Operations and Development areas**:
- Assist with draft, review and negotiation of the services/supply contracts /request for bids, executed by AMResorts.
- Develop and implement internal controls than can prevent and detect defaults from Owners (i.e Capex, permits, policy insurance etc.)
/ Identify and assess provisions of compliance risk, to inform AMR Operations and notify Owner.
- Preparation of any type of notifications related to HMA (i.e breach of certain provisions, compliance request, ROFR rights, Punch list letters) / Respond to any Owners notifications.
- Preparation of documents for -day to day operation-- Track terms and Renewals / Track certain provision on HMA and prepare report to inform specific areas.
- Manage/respond to requests of any legal advice/inquiry
- Preparations of Loans, credit Agreements
- Execution of "fe de hechos" before notary public (when applicable)
- Review of REPSE compliance.
- OFAC Process
- gathering of information/Review
- Update Summary Agreement (on timely bases)
- Support to track /maintain and report HMA data for Hyatt.
- Regularize the HMAs files (Annex to the HMAs)
- NDA/LOI reviews
- Preparation of Marketing Agreements.
- Preparations of Addendums to HMAs / Side Letters.
- HMA /Marketing reviews and negotiations.
**Requirements**:
- Law Degree and Master of Laws/ LLM (preferable abroad)
- At least 3-5 years of relevant professional experience.
- Experience in the areas of Corporate Law, Hospitality, Financing, Commercial Law.
Previous experience in ranked Law Firm in Finance, Corporate (preferable).
- Bilingual English and Spanish.
Excellent writing and communication skills both in English and Spanish.
